Marvell Lumentum Deal: Marvell to Buy Lumentum for $115 Billion

Marvell Lumentum deal: the chipmaker will buy Lumentum in a $115 billion all-stock deal to grow in AI optical connectivity, closing in H1 2028.

In the Marvell Lumentum deal announced on Monday, 2 November, Marvell Technology agreed to buy optical-components maker Lumentum Holdings in an all-stock transaction with an implied enterprise value of about $115 billion.

Under the terms, Lumentum shareholders will receive 4.5 Marvell shares for each share they hold, according to a filing with the US Securities and Exchange Commission. That works out to about $1,132 per Lumentum share, a premium of roughly 23.9% to the 28 October close, the last trading day before speculation about a deal began.

Once the transaction closes, Marvell shareholders will own about 67% of the combined company and Lumentum shareholders about 33% on a fully diluted basis, according to Investing.com. The boards of both companies approved the deal unanimously.

Inside the Marvell Lumentum deal terms

The companies expect more than $1 billion in annual run-rate cost savings and said the chip merger should add to Marvell’s non-GAAP earnings per share in the first year after closing. They estimate that the combined company’s total addressable market will reach $550 billion.

Completion is expected in the first half of 2028, subject to approval by shareholders of both companies, expiry of the waiting period under the US Hart-Scott-Rodino antitrust law and other regulatory clearances. The SEC filing sets an outside date of 1 November 2027, which can be extended in stages to 1 August 2028 under certain regulatory circumstances.

The agreement carries large break fees. The filing lists a $5.8 billion termination fee payable by Marvell and a $2.9 billion fee payable by Lumentum in specified circumstances, along with a separate $3.2 billion regulatory termination fee.

Matt Murphy will remain chairman and chief executive of Marvell. Three Lumentum directors, including chief executive Michael Hurlston, will join the Marvell board after the deal closes.

Why AI optical connectivity is driving the chip merger

Murphy said “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity”, according to Yahoo Finance. Lumentum makes lasers and other optical components that speed up connections in AI data centres, and optical technology and manufacturing capacity have become bottlenecks in the AI infrastructure build-out.

The deal gives Marvell, which designs custom chips and high-speed infrastructure silicon, wider access to that technology and capacity. It also strengthens Marvell against rival Broadcom in data-centre networking. Marvell joined the S&P 500 in June, and its shares have risen more than 130% this year, while Lumentum’s shares have risen 128%, Yahoo Finance reported.

Lumentum released strong quarterly numbers alongside the announcement. Its fiscal first-quarter 2027 revenue rose to $1.26 billion from $533.8 million a year earlier, and adjusted earnings per share came in at $4.57, ahead of the $4.21 analysts had expected and up from $1.10 a year ago.

The company guided second-quarter revenue to between $1.575 billion and $1.625 billion, above the $1.48 billion consensus estimate. Marvell said its preliminary fiscal third-quarter 2027 revenue was consistent with its guidance, and it narrowed the guidance range to plus or minus 2% from plus or minus 5% while keeping the midpoint.

What the deal means for India and investors

The transaction has an India dimension. In August 2026, Marvell said it would invest $250 million in India over three years and double its headcount in the country, adding a new wing to its Bengaluru office and expanding in Hyderabad, alongside an existing R&D team in Pune.

A larger combined company could raise the importance of those engineering centres, although the deal announcement did not address India operations.

For investors, the main risk is regulatory. A timeline that stretches into 2028 leaves room for close scrutiny of a deal that consolidates critical parts of the AI supply chain, at a time when chip stocks have proved volatile, as shown by Intel’s 29% share slump on a weak fourth-quarter outlook.

The next steps include a Form S-4 registration statement, which must become effective before closing, and shareholder votes at both companies. Until then, the Marvell Lumentum deal sets a marker for how much chipmakers are prepared to pay for scarce optical capacity. More coverage is available in our business news section.
